This Agreement is made as of the 22nd of October, 824 A.S. between the Core, the authority of public law of the Omicron Empire ("Core|") and the Confederation of Freeports, the authority regulating the Freeports of Sirius ("CoF").
The Parties agree as follows:
1. SCOPE OF AGREEMENT
1.1 This framework agreement is the cornerstone for a lasting peace between the peaceful populations on the Freeports and the paramilitaries of the Core. Both sides pledge themselves to peaceful coexistance and to resolve future arising conflicts peacefully and without the use of undue violence.
1.2 Core| shall restore docking access to all Zoner assets.
1.3 CoF shall restore docking access to all Core| assets.
1.4 The Reconstruction of Freeport 11 within Omicron Delta is funded in equal parts by the CoF and the Core|.
1.5 Core| cedes its claims on the Freeport 11 in Omicron Delta and irrevocably cedes any future claim on it.
1.6 Freeport 11 remains part of the CoF. It applies and enforces the laws locally. Matters pertaining to the Freeport 11 are handled by the Administration.
2. DEFINITIONS
The following terms used in this Agreement shall have the meaning ascribed to them in Section 2:
2.1 "Violence" means applying any mean whose end is achieved by compulsion.
2.2 "Reconstruction" of Freeport 11 means restoring it to or beyond the state it has been in before the initiation of the conflict.
2.3 "Administration" of Freeport 11 means any one person who currently wields the executive power over it. Currently, this person would be Mr. Kyu Akibara. Should Mr. Kyu Akibara ever leave his position, his successor is considered the Administration.
2.4 "Modifications" mean alterations to the terms of the agreement.
2.5 "Unfounded" means that a court upon Freeport 11 deemed the reasoning behind the termination notice to be insufficient.
2.6 "Termination" of the Agreement means the invalidity as a whole of all terms.
3. TERMS AND TERMINATION OF AGREEMENT
3.1 This agreement is effective upon signature by both parties as of the date noted above for an indefinite amount of time.
3.2 Either party may terminate this Agreement upon written notice to the other party in the event that the other party does not adequately perform their duties as outlined in this agreement. The notice needs to outline in how far the obligations of the other party were neglected. An Unfounded Termination is invalid.
3.3 All Modifications to be in writing. This contract may be modified or rescinded only by writing signed by both of the parties.
3.4 The invalidity, in whole or in part, of any term of this agreement does not affect the validity of the remainder of the agreement.
3.5 Force majeure. Duties may be suspended by either party in case of acts of God, war, riots, fire, explosion, flood, strike, lockout, injuction, inability to obtain fuel, power, raw materials, labor, containers, or transportation facilities, accident, breakage of machinery or apparatus, national defense requirements, or any cause beyond the control of such party.
3.6 Neither Core| or CoF may assign its rights under this agreement in whole or in part.
3.7 The validity, interpretation, and performances of this agreement is controlled by and construed under the laws governing the Freeport 11 in Omicron Delta, as if performed wholly within the Freeport 11 and without giving effect to the principles of conflict of law.
3.8 Any legal suit, action, or proceeding arising out of or relating to this agreement is to be commenced in a court upon Freeport 11, and each party hereto irrevocably submits to the non-exclusive jurisdiction and venue of any such court in any such suit, action or proceeding.
3.9 This agreement signed by both parties and so initialed by both parties in the margin opposite of this paragraph constitutes the final written expression of all the terms of this agreement and is a complete and exclusive statement of those terms.
