The shipline of MAE is represented by Gallic civilian ships for personal and group use, including those of industrial application like mining ships, as well as luxurious "Lucullus" liner. I wholeheartedly share your belief that both our companies could mutually benefit from cooperation. Gallic shipbuilding is famed throughout Sirius and having the ability to distribute Gallic ships in our new fledgling Empire is a highly alluring prospect. Indeed, Daumann itself would gladly take use of them. With regards to subject of your stock-exchange I will personally research more about such an opportunity. I believe Daumann would benefit from this option as well.
Let me ask you in return how could Daumann benefit your enterprise during our future cooperation. We can provide access to all of Rheinland's industrial and other goods through our trading division. Our mining division can provide you raw ores such as Uncut Diamonds, Aluminium, Silver and Cobalt and Daumann can of course offer its centuries-proven shipbuilding capabilities. I am excited to make acquaintance with you. It pleases me that the esteemed DHC side has already acquainted itself with our humble company. We welcome your amicability and would like to lay down our cooperation in a contract.
To begin with, the distribution agreement. Our lawyers have drafted a distribution contract. It is a standard document that we can use as a basis for our cooperation. You are free to review and suggest any amendments as you see fit and we will deliberate thereon. This basic contract would provide the rights to distribute each other's ships without having to recourse to their production. I suppose, it would be a good start.
Distribution Agreement
This Distributor Agreement (hereinafter“Agreement”) is made and effective as of 27/04/743 A.G.S / 827 A.S., by and between Montluc Advanced Engineering Inc., a ship construction company, registered at Freeport 6, Tau 29 system (hereinafter MAE), and Daumann Heavy Construction, registered at ____________, (hereinafter DHC).
1. Exclusive Appointment. Subject to the terms and conditions of this Distributor Agreement, MAE hereby appoints and grants DHC the exclusive right to sell and distribute the Products to customers (the “Customers”) and to render other services as a distributor for MAE as set forth herein. DHC shall limit its activities with respect to the Products to Customers might be later on deemed by the Manufacturer as "hostile" to MAE.
Reciprocally, DHC hereby appoints and grants MAE the exclusive right to sell and distribute the Products to the Customers, and to render other services as a distributor for DHC as set forth herein. MAE shall limit its activities with respect to the Products to Customers might be later on deemed by the Manufacturer as "hostile" to DHC.
For the purposes of this Agreement and in view of its mutual character, either MAE or DHC (hereinafter "Companies-Paries to this Agreement") shall be referred to as "distributor" or "manufacturer", those terms applying same rights and responsibilities.
2. Products. The Products manufactured and sold by Company to Distributor for distribution hereunder are as follows:

3. Relationship of Parties. DHC and MAE are independent contractors and are not and shall not be deemed to be a legal representatives, dealers, general agents, joint venturers or partners of each other for any purpose outside the scope of this contract. MAE and DHC acknowledge not granting each other any authority to make changes to the terms and conditions of sale, grant any warranties in excess of those extended by the Companies-Parties to this Contract, or limit their liabilities or remedies less than Companies-Parties to this Contract limit liabilities and remedies, sign quotations, incur obligations (expressed or implied), or in general enter into contracts or bind on behalf of each other in any transaction with customers, governmental agencies or third parties.
4. Subagents. MAE and DHC may appoint sub-agents, sub-distributors, sub-representatives or other persons to act on each other’s behalf or to otherwise perform any of the obligations under this Agreement provided that
any compensation to such sub-agent, sub-distributor, subrepresentative or other person to act on distributor’s behalf or to otherwise perform any of distributor’s obligations shall be solely distributor’s responsibility, and
such appointment does not deprive manufacturer of the essential rights to which it is entitled under this Agreement.
Any agreement with such sub-agent, subdistributor, sub-representative or other person shall not extend beyond the term of this Agreement.
5. Terms of Sale. All sales by the Companies-Parties to this Agreement shall be in accordance with the terms and conditions of this Agreement.
6. Payment. Upon Customer’s acceptance of any order, a distributor shall submit to manufacturer via wire transfer to Montluc~Rousseau in case of MAE being the manufacturer or __________ in case of DHC being the manufacturer the full order price. The additional price exempted from the Customer shall be considered the profit of the Distributor regardless of the amount.
7. Confidentiality. As used herein, the term “Proprietary Information” means any information, technical data, or know-how (including, but not limited to, information relating to products, software, services, development, inventions, processes, techniques, customers, pricing, internal procedures, business and marketing plans or strategies, finances, employees and business opportunities) disclosed by one Party (the “Disclosing Party”) to the other (the “Recipient Party”) either directly or indirectly in any form whatsoever, including, but not limited to, in writing, in machine readable or other tangible form, orally or visually.
7.1 Unless otherwise expressly authorized by the Disclosing Party, the Recipient Party agrees that it and any of its personnel receiving Proprietary Information under this Agreement shall treat such Proprietary Information in strict confidence with the same degree of care applied to its own Proprietary Information of like importance, which it does not wish to disclose, publish, or disseminate to third parties.
8. Effective Date and Duration. This Agreement shall become effective on the date first written above and shall continue in effect until either of the Parties expressly decides to terminate the Agreement.
9. Termination. The Parties reserve the right to terminate at volition this Agreement. A prior notification of termination of this Agreement is to be sent a week before it comes into effect. All dues shall be paid within the mentioned period of 1 (one) week.
10. Post-termination Rights. Notwithstanding anything to the contrary set forth herein, no termination of this Agreement shall relieve any Party from any obligations hereunder which are outstanding on, or relate to matters or claims occurring or arising prior to, the date of such termination or which survive such termination by their own terms or nature. No "Proprietary Information" as set forth in Article 5 of this Agreement shall be disclosed following the termination of this Agreement.

I sincerely hope that we represented the interest of the esteemed DHC side properly in this draft. Not possessing explicit knowledge of Rheinland ship market even after scouting, we would like to inquire if DHC can provide the rights of distribution for any other civilian or available to civilian population ships. In particular, our company is interested in obtaining a gunship or a gunboat-class ship in lieu of increased pirate activity in Taus. We do not expect that "Oder"-class Rheinland gunboat is readily available to the public and hence we are inquiring if DHC can provide access to any ships of this class, even if not manufactured by DHC. In such a case, we are ready to negotiate their provision separately.
As for the raw materials, you definitely caught the attention of our Board of Directors. MAE currently developing the stock exchange and a trade hub on Freeport 6, we would be interested in all raw materials your company mines and is ready to provide. We would be glad to discuss the possibility of establishing trade routes. If this idea is interesting to you, Monsieur Kelsen, I would invite my economic advisor to this discussion for further deliberations.
This negotiations look very perspective and you have my gratitude for professionalism and openness that you have shown. Me being a Gaul, I am not quite used to foreign individuals treating us with amicability and respect.

the distribution agreement feels fully satisfactory to me as well as to our corporate lawyers. I have therefore filled in the administrative details and I enclose the final and signed version to this transmission. Beyond the scope of the agreement, should the need arise we are also able to procure for MAE other non-exclusive civilian ships such as the Eagle Very Heavy Fighter, Condor gunboat or Arrastra Heavy Miner. Due to our longstanding connection to the "old" 4 Houses, we would be glad to facilitate any purchases from the non-Gallic markets for you.
As for the Oder-class gunboat specifically while Daumann produces large part of the Military's technology we are not at liberty to provide the technology without the government's approval. However, you have my promise that once our companies get to know each other better, strengthen our ties and your company's friendly stance towards the Empire becomes well-known, we will communicate your interest to the government and lobby on your behalf. Hopefully by then the civilian strife we are undergoing at the moment will be long gone and the Military will be able to spare the Oder vessels.
I would also welcome the opportunity to establish trade routes between our two companies. Please do invite any personnel you deem necessary to this conversation so that we can establish future trade connections.
As a last bit of request, while we of course acknowledge your company's complete economic autonomy, we would ask that MAE does not in any shape or form trade with or supply the, commonly known as, "Federalist" forces or the Red Hessian criminals. Should you have similar request, please do let us know.

It is with great pleasure I am replying to your message. We are excited about the concluded contract and are looking forward to our cooperation. We will start supplying the ships right away. As for the trade routes - we will have our scouts and market researchers study the matter more and reach out to you with detailed proposals. As of now, we would be procuring the ore from DHC. Availing the opportunity, I would also like to kindly request the access of our trade vessels into the mining fields within the Rheinland Empire in accordance with the new imperial legislation as one of the three Rheinland corporations have to issue such a permit and let the Imperial Government know of the contractor allowed in the mining fields.
Regarding your request - I on behalf of MAE solemnly agree to not engage in any contracts or other dealings with any party associated with the opposition federal government, and to abstain from dealings with the Red Hessians. From our side we will not request not to deal with anyone. We are pragmatists, Monsieur Kelsen, and we realise that we are not in position to request such things. I would just use this opportunity to warn you about possible business with the Confederal "Government" of Gallia. It is similar to the federal government of Rheinland not only in name, but also in what it stands for and its ill-grounded predatory attitude to businesses. We had to leave Gallia due to their threats of nationalisation. Certainly, we cannot preclude you from doing business with the confederals and confederacy-aligned corporations, I am merely drawing your attention to the financial risks ensuing such business.
