Good day, gentlemen!
My name is William Burke III, and I have the honour of serving as the new Director of the Trade Combine for Borderworld Exports. One of my first duties upon taking over my new role was to take stock of our remaining assets and get a report on the condition of our trade fleet, both in remaining ship numbers and the condition of our remaining ships. The reports I received were somewhat disappointing across the board. A healthy merchant fleet is even more crucial to Bretonia than ever, and ours is not where I would like it to be.
While our shipyard facilities at Scarborough Station are intact and functioning at full capacity, the Newcastle system is cut off behind enemy lines. The Station facilities are currently servicing the Armed Forces ships in the system, and obviously are not available to service our transports nor build new ones. All new transport construction has halted, and many of the ships currently in service are badly in need of maintenance that can only be done at a yard facility.
This brings me to the reason for my call. As your companies are two of Sirius' leading transport manufacturers and are in possession of ample shipyard facilities, I was hoping we could work out an arrangement. We are interested in leasing the use of drydock facilities at DSE's Baltimore Shipyard and Republican's Alster Shipyard for the purposes of maintenance and repair of our merchant fleet. In addition, we are interested in acquiring a number of transport-class vessels produced by your companies. Both arrangements would need to last until the end of the war with Gallia and the restoration of our access to our own shipyards.
Can I count on both of your companies to assist us in our hour of need?

I know that when a merchant fleet is not up to its standards, it is even viewed lower by others abroad. Bretonia law enforcements came to the aid of Republican Shipping in its time of need, so in return Republican Shipping will answer the call for Border World Exports. But seeing this is a matter of business between corporations, I would like to propose some sort of contract and arrangements.
With regards to leasing Alster Shipyard, we are willing to let you use our facilities which will be run by Republican Staff. Seeing that you will be guests in Rheinland as well as of Republican Shipping. My staff wont be too happy seeing Bretonians coming in and working on ships. They will see it as a threat to their jobs, and i dont want to have an incident at Alster under my watch. I do understand that you would want your own staff here, which I respect that, so ill grant that you send engineers to overwatch all Bretonian ships that will be coming this way, and to offer their expertise so that my staff can do their best to get your vessels back out to work.
I advise that your engineers bring with them the necessary technical data, blueprints, and specifications to make the process as smooth as possible. Last thing I want is to have my dry docks filled with your vessels and work being halted by delays that could have been avoided. As you are aware, we have a business to run, and a smooth operation is an effective one.
Buying of Rheinland transport vessels I will agree to, with permission from Rheinland government, but as you mentioned it will be until the end of the war, and have access to your own shipyards. Possibly you could work out how many you may need, and we keep it updated monthly so we know how many is being used, and the conditions of the vessels.
Alternatively if you would permit, you can send us your technical data on your current ships, so that we can lease you a few of our vessels short term, until we can supply you with your own vessels long term. Im sure your pilots would prefer flying a vessel they know and comfortable in, rather than a foreign vessel.
If we can agree on these matters after some negotiations, then we can talk about payment. As a sign of good faith from our side I would like to propose that when the war ends, we assist in reconstructing your shipyard facilities. So that you can get back to business as usual.

Guten Tag, Herr Meyer,
Your willingness to assist us is very much appreciated. Based on your reply, I'm afraid I wasn't very clear about our request. I've been putting in long hours these past couple weeks, and sleep has been in short supply, so please bear with me.
First, regarding shipyard leasing, my intention here is to lease time at Alster Shipyard. Our ships would receive preferential service, ahead of other non-Republican ships. Insofar as your other contracts allow, at least. Your own crews would do the actual work, as there's nothing particularly sensitive in the technology behind Bretonia's merchant vessels. Most of our shipyard crews are currently on Scarborough Station, and are unavailable for transfer anyway. Some of our personnel were rotated out of Newcastle, on leave and such, at the time of the Gallic offensive into New London. I would be pleased to lend some of them to you to assist your own engineers in servicing Bowex's ships. This part of the arrangement would be in force until the end of the conflict with Gallia, or sooner if we're able to return Scarborough Station to full civilian service.
The second part of my request is concerning the purchase of Republican-made transport-class ships. We are currently interested in an outright purchase, rather than simply leasing them. We prefer to retain total control over every ship in our fleet, and it simplifies the paperwork on both sides. Any ships purchased during the war will remain in Bowex service after the war, though we are unlikely to need to purchase any more after that.
As to licensing our ship designs for construction at you shipyards, that would serve our needs best, but I would need to consult the Board first. I see no reason that they would refuse, but I do not have the authority to make that decision on my own.
Lastly, if we are able to come to a satisfactory arrangement, it would be my pleasure to meet you in person to sign the paperwork and share a drink.

I understand, long hours does that to a person. If you can, send one of your engineers just so that we can make sure the first few vessels is up to standard, after that we will know what quality is expected and by then any issues would have been worked out.
I understand that you would prefer to fully own all vessels that you purchase, and I respect that. May I add that if the time comes that you don’t have a use for these vessels, Republican Shipping will be willing to buy them back, rather than have you sell them to other individuals. I would like to add that I will be putting in the clause stating, that any Republican Shipping vessel owned by Bowex will be used for the sole purpose of Bowex and its activities, as well for self defense. In no way may these vessels be used to violate Bretonian laws, Rheinland laws. Rheinland law being first and foremost, and then Bretonian law. We do have a reputation to uphold and these are of course vessels used to transporting.
We at Republican Shipping are very willing to help Bowex and are willing to sell the vessels you need.
Can we discuss/negotiate terms of contract? I would prefer you starting off with an offer, and we can work from there.

For 760 years, Bowex has upheld the strictest standards to become a sector-wide leader in commerce. As regards the actual terms of the contract, I think that, at this point, we should turn the matter over to our respective legal departments. PRICE AND PAYMENT METHOD

LIABILITY
The vessels are sold "AS-IS". The PURCHASER admits having inspected each vessel to their satisfaction.
DELIVERY and TRANSFER of OWNERSHIP
Delivery will be made at Alster Shipyard where the PURCHASER will send pilots to collect each vessel. Transfer of ownership will commence once the vessel has completely left Alster Shipyard. This does not excuse the pilots of the PURCHASER of negligence.
Bowex staff on Alster Shipyard
All Bowex staff entering/exiting Rheinland will be given an escort to Alster Shipyard. Once aboard Alster Shipyard, all Bowex will keep security passes on said person and be provided will security detail. The wellbeing of Bowex employees will be the responsibility of Republican Shipping, with the exclusion of negligent behaviour. All Bowex staff aboard Alster Shipyard will be given meals alongside Republican Staff with suitable accommodation.
DURATION OF CONTRACT
Duration of contract will start when contract is signed by both parties to 6 months after the Gallic/Bretonian war is over, with an extended period of 6 months to ensure a smooth transition.
MAINTENANCE
All Rheinland built Bowex vessel will be serviced by Republican Shipping only to ensure standards are maintained and handled by the CONTRACTOR which constructed them. CONTRACTOR ensures that Bowex vessels will be given priority at Alster Shipyard above all other foreign vessels to Rheinland, but ultimately giving High priority to Rheinland vessels.
BRECH/DEFAULT
Breaking of this clause with sufficient evidence will result in the following:
- All Bowex owned Republican Ships will be seized and detained
- All operations for Bowex at Alster Shipyard will cease
- All Bowex vessels being made at Alster Shipyard at the time of incident will be detained
- Payment will still run for operations to the end of the Bretonian/Gallic war, and 50% will be repaid to PURCHASER after the war irrespective of who is victorious.
Failure to make payments will result in the following:
- Legal representatives will be called in to negotiate terms
- If a settlement can’t be reached, Rheinland vessels in operation owned by PURCASHER will be bought back by Republican Shipping to settle the debt
- If outstanding payments are still not covered, vessels built by CONTRACTOR will be sold to recover costs.
