I agree with the OP. It is obvious he has given it much thought and he is trying to make a logical decision irrespective of his emotions. Sometimes it's better to let things die so that new factions will flourish in their place.
For example in this case I think the Xenos have a good opportunity to flourish and grow, definitely attract a good number of players and become an official faction after so many years in Hellfire's shadow.
I want to help however I can. Heck, I would volunteer to take over HF if UN wasn't my baby just as HF is yours. But I can help from afar to an extent.
Let's do PVP events. Let's fight in Texas, then Kansas and Vespucci. Let's do hostile RP's and intrigues. Another option is that we drop the war scenario and start working on joint missions and objectives together. Liberty very much needs Hellfire and it'd be a shame to see it go.
Edit:
Ultimately the faction should disband if Justin has to shoulder it alone. I hope he doesn't need to.

I'm very sorry to hear that, Justin. HF certainly went far and you can take pride in all that you did to make it happen. It is a difficult decision but I understand the need to let go of something that has become a burden. Tough times for OFs indeed.

We don't need Unioners to fight, there are plenty of those to handle on the daily. We need people with [HF] tags willing to log in and fight them.

That is what confuses me the most about this thread. We had just gone over some of this less than 13 hours ago. From how that ended this is surprising (and a tad irritating given some my own history on it) to see.
Yeah, sorry Shane, as a former HC member you really probably should've been included in this. I slept on it, talked with HC about it, and the decision seemed pretty straight forward. The offer I extended to you about leading last night stands, but I don't know if you'd want it. It's going to take more than an XO to keep me involved in the HF at this point.
[HF] seems to have more activity than some other official factions that remain official. Though if the faction and it's leadership feels things aren't going anywhere and is out of options how to fix it, it's all in their right to disband gracefully rather than wait for the inevitable "Faction no longer official" that would happen eventually. If none of the resources and props go away this is also a decent opportunity for anyone interested in shaping their own Hellfire Legion faction to come forward and do their thing.
After all - if you're holding officialdom just for the sake of officialdom, you're obviously doing something wrong, at least in my eyes.
GL to Justin and Co. in their future endeavors around here!
